At the annual conference of ACC ISRAEL – Association of Corporate Counsels in Israel – which was attended by over 500 representatives of the leading companies in the market, Adv. Ram Jeanne, the managing partner of our firm and Head of Commercial Litigation Department, participated in a panel on “The role of the Legal Counsel – Opportunities vs. Risks” chaired by Adv. Michal Arlosoroff, General Counsel and Secretary of ADAMA, in which also participated seniors in leading law firms.
In the panel, Ram referred to the Legal Counsel’s powers as a key figure in the organization, saying that “alongside the duties imposed on the inhouse LC as an attorney and as an officer in the company, it is possible to argue that the Legal Counsel also enjoys the protection of business discretion, and that one acted in good faith, without a conflict of interest and in a knowledgeable process. The question of what are those “business decisions” that will be protected by the rule of business discretion still needs clarification and development in the courts’ rulings.”
